Terms & Conditions for Services
1. TERMS AND CONDITIONS FOR SERVICES
1.1. SERVICE AGREEMENT
These terms and conditions govern the provision of consulting, implementation, training, and support services ("Services") provided by Automators GmbH ("Automators", "we", "us") to the customer ("Customer", "you").
By engaging our Services, you agree to be bound by these terms and conditions.
1.2. SCOPE OF SERVICES
Our Services include but are not limited to:
- SAP Quality Assurance consulting and implementation
- Tricentis Expert Consulting and Tosca implementation
- Open Source testing solutions and strategies
- Test automation framework development
- Training and knowledge transfer
- Technical support and maintenance
The specific scope of work will be defined in individual service agreements or statements of work.
1.3. SERVICE DELIVERY
Services may be delivered on-site at Customer's location, remotely, or at Automators' facilities, as agreed upon in the service agreement.
Standard service delivery hours are 9:00 AM to 6:00 PM Central European Time (CET), Monday through Friday, excluding holidays.
Emergency or after-hours support may be available subject to separate agreement and additional charges.
1.4. CUSTOMER RESPONSIBILITIES
Customer shall provide:
- Timely access to necessary systems, environments, and personnel
- Required user accounts, permissions, and technical resources
- Subject matter experts and key stakeholders for project activities
- Accurate and complete information necessary for service delivery
- Timely feedback and approvals as required
1.5. PAYMENT TERMS
Services are typically charged based on time and materials at agreed hourly rates, or as fixed-price packages as specified in the service agreement.
Invoices are payable within 30 days net after receipt.
Travel expenses for on-site services will be reimbursed at cost when pre-approved by Customer.
All prices are exclusive of applicable taxes.
1.6. INTELLECTUAL PROPERTY
Automators retains all rights to its pre-existing intellectual property, methodologies, tools, and frameworks.
Any intellectual property developed specifically for Customer as part of the Services shall be owned by Customer, unless otherwise agreed in writing.
Automators may use general knowledge, skills, and experience gained during service delivery for other customers.
1.7. CONFIDENTIALITY
Both parties agree to maintain confidentiality of each other's proprietary information disclosed during the course of service delivery.
A separate Non-Disclosure Agreement (NDA) may be executed if required.
1.8. WARRANTIES AND DISCLAIMERS
Automators warrants that Services will be performed in a professional and workmanlike manner in accordance with industry standards.
Services are provided "as is" without any other express or implied warranties.
Automators does not guarantee specific results or outcomes from the Services provided.
1.9. LIMITATION OF LIABILITY
Automators' total liability for any claims arising out of or related to the Services shall not exceed the total amount paid by Customer for the specific Services giving rise to the claim.
In no event shall Automators be liable for indirect, incidental, consequential, or punitive damages.
1.10. TERMINATION
Either party may terminate the service agreement with written notice as specified in the individual agreement.
Upon termination, Customer shall pay for all Services performed up to the termination date.
1.11. GOVERNING LAW
These terms shall be governed by the laws of Austria. Any disputes shall be resolved in the courts of Vienna, Austria.
